Welcome to La Strada Productions, including our La Strada Aerials division. By accessing and using this website, you agree to comply with and be bound by the following Terms of Service, which govern your use of our website and services. If you do not agree with any of these terms, you should not use this website or our services.
These terms apply to our website and services. A project-specific written agreement accepted by both parties controls if it conflicts with these general terms. Changes to this page do not amend an existing accepted project agreement without the agreement or notice required by that project’s terms.
1. Definitions
Client: Refers to any individual or entity who enters into an agreement with La Strada Productions for services.
Services: Refers to all creative, branding, video production, drone, aerial, photography, social media, and related services provided by La Strada Productions.
Deliverables: Refers to any final product or work delivered to the client, including but not limited to video, audio, images, branded content, and promotional materials.
2. Scope of Services
La Strada Productions offers bespoke video, photography, drone, aerial, branding, and social media content creation services. The scope, timeline, and pricing of services will be outlined in a formal written agreement or proposal accepted by both parties prior to the commencement of work. The agreement will outline the specific deliverables and terms of the project.
La Strada Aerials is a service division of La Strada Productions. La Strada Productions remains the client’s contracting provider for accepted Aerials projects. An inquiry or quote request does not confirm a booking, technical capability, or specialist’s availability.
La Strada Productions is also developing Future Innovations in Artificial Intelligence (AI) services, which may include AI-driven motion picture, still photography, and music services. Any AI-related services will be subject to additional terms and will be outlined in future agreements.
3. Intellectual Property
Ownership: All pre-existing intellectual property (including, but not limited to, video footage, images, concepts, ideas, scripts) owned by La Strada Productions prior to any client engagement remains our sole property unless otherwise agreed upon in writing.
Client License: Upon full payment, La Strada Productions grants the client a non-exclusive, perpetual, royalty-free license to use the final deliverables for the purposes agreed upon in the proposal or contract.
Other Uses: Uses outside the agreed license, including resale or sublicensing unrelated to the client’s project or business, require written permission. The Aerials license below expressly permits ordinary business editing and sharing.
Portfolio and Promotional Use: Permission for La Strada to identify the client or publicly showcase project material will be addressed in the project agreement. Confidential, restricted, or unreleased material will not be used for promotion without the client’s approval.
La Strada Aerials Deliverable Rights
Unless a written project agreement provides otherwise, upon full payment the client receives a perpetual, worldwide, non-exclusive, royalty-free license to use, reproduce, crop, edit, publish, and share the Aerials deliverables for the client’s business and project purposes. This includes documentation, reports, presentations, websites, advertising, social media, and property marketing. Clients may provide the deliverables to owners, investors, project teams, contractors, agencies, and other service providers acting on the client’s behalf for those purposes, without requesting permission for each use.
This license covers the files specified for delivery; it does not automatically include unselected source files, project files, software, or third-party assets. Copyright ownership is retained unless expressly transferred in a signed written agreement. Any third-party restrictions or materially different specialist-data rights must be identified in the project agreement before work is accepted. Clients must not present altered images or approximate annotations as verified measurements or unchanged records.
4. Payment Terms
Fees: Fees for services are set out in the proposal or agreement and must be paid in full according to the agreed-upon terms.
Payment Schedule: A non-refundable deposit may be required to secure the booking of services. The remaining balance is due upon delivery of the final project, unless otherwise agreed.
Late Payments: Payments that are not received within 14 days of the due date will incur a 2% late fee. La Strada Productions reserves the right to withhold deliverables or cease work on projects in the case of non-payment.
Taxes: The client is responsible for all applicable taxes related to the services provided.
5. Revisions & Changes
Revisions: The client is entitled to a set number of revisions as outlined in the proposal. Any additional revisions beyond the agreed-upon scope will be charged at La Strada Productions’ hourly rate.
Change Requests: Any substantial changes or modifications requested after the start of the project may result in additional charges and must be agreed to in writing before being implemented.
6. Cancellation & Refunds
Cancellation by Client: In the event the client cancels the project after services have commenced, the client will be liable for all costs incurred up to the point of cancellation, including the non-refundable deposit.
Cancellation by La Strada Productions: We reserve the right to cancel or reschedule services in the event of unforeseen circumstances, with reasonable notice provided to the client. In such cases, a refund will be issued for any uncompleted services.
Refund Policy: Refunds are only available for services not yet rendered and must be requested within 14 days of the payment date. Deposits are non-refundable except in cases of provider cancellation.
7. Client Responsibilities
Timely Communication: The client agrees to provide necessary materials, approvals, feedback, and any other required assets in a timely manner to ensure the project timeline is maintained.
Accuracy of Information: The client is responsible for the accuracy of all information, content, and instructions provided to La Strada Productions.
8. Liability Limitation
La Strada Productions will not be liable for any indirect, consequential, or punitive damages arising from the use of services or deliverables. Our total liability under these terms will not exceed the total amount paid by the client for the services provided.
9. Force Majeure
Neither party will be held liable for any failure or delay in performance due to circumstances beyond their control, including but not limited to natural disasters, strikes, government regulations, or equipment failure. In such an event, both parties will make every reasonable effort to resume performance as quickly as possible.
10. Confidentiality
La Strada Productions agrees to maintain the confidentiality of any proprietary or confidential information provided by the client, unless such information is publicly available or legally required to be disclosed.
11. Photography & Social Media Content
Photography: La Strada Productions offers commercial, branding, event, and drone & aerial photography services. These services are subject to the same payment, revision, and cancellation terms outlined in Sections 4, 5, and 6.
Social Media Content Creation: We provide video and still photography content for social media, along with strategic planning and consultation. Any custom strategies or content remain the intellectual property of La Strada Productions unless otherwise agreed in writing.
Usage Rights: Clients receive a license to use photography and video content for promotional purposes as outlined in the agreement. Any use beyond the agreed scope, such as reselling or sublicensing content, requires permission from La Strada Productions.
12. La Strada Aerials Project Conditions
Flight Operations and Scheduling
Aerial work is subject to weather, airspace requirements, site access, safety conditions, and the remote pilot’s operational judgment. A requested date, flight path, altitude, or shot cannot be guaranteed before those conditions are assessed. The project agreement will address rescheduling, cancellation, committed third-party costs, and any agreed fees.
Site Access and Coordination
The client must identify known site restrictions and hazards, provide accurate site information, and arrange any property access or permissions within the client’s control. La Strada coordinates flight planning and applicable aviation authorizations. Insurance documentation or project-specific insurance requirements should be requested before work is confirmed.
Specialist Work
For accepted projects requiring specialist equipment or expertise, La Strada may engage qualified subcontractors while managing project scope, scheduling, communication, billing, and delivery. Provider availability, qualifications, technical methods, deliverables, data rights, and any accuracy requirements must be confirmed in writing before acceptance. A service description on the website is an invitation to discuss a need, not a guarantee that every service is available for every location or project.
Visual Documentation and Technical Deliverables
Ordinary aerial photographs and video document visible conditions. They are not a land survey, engineering opinion, structural assessment, or professional inspection. Property lines, labels, and annotations are approximate unless the written scope expressly states otherwise. Mapping, measurements, models, and other technical outputs must be used within their agreed purpose and stated limitations. Work requiring a licensed professional must be performed or validated by an appropriately qualified provider.
Delivery and Retention
The written scope specifies the deliverables, formats, editing, delivery method, review process, and any retention or hosting period. Clients are responsible for downloading and backing up delivered files. Long-term hosting and archive retrieval are not included unless agreed in writing.
13. Future Innovations
La Strada Productions is continuously exploring new technologies to improve our offerings. AI-based services, including motion picture, still photography, and music composition, are currently in development and may be offered as an additional service in the future. Any such services will be subject to new terms and agreements and will be clearly outlined in future proposals.
14. Termination
Either party may terminate this agreement with 30 days written notice if the other party breaches any material term of the agreement and such breach is not cured within 10 days of written notice.
15. Governing Law
These terms will be governed by and construed in accordance with the laws of the State of Georgia, without regard to conflict of law principles.
16. Dispute Resolution
Any disputes arising from this agreement shall first be attempted to be resolved through mediation. If mediation fails, the dispute will be settled by binding arbitration in the State of Georgia.
17. Amendments
La Strada Productions reserves the right to amend or update these Terms of Service at any time. Clients will be notified of any significant changes to these terms.
